Terms of service

These terms apply to the website design, development, hosting and related services provided by Kerning Studios ("we", "us") to you ("the client"). A signed proposal or order form may add project-specific terms; where they conflict, the proposal wins.

1. Services

We design and build your website as described in your proposal, then provide ongoing hosting, maintenance, security updates, backups, email services and dashboard access under your chosen monthly plan.

2. Fees and payment

• The build fee is due 50% at project start and 50% at launch.
• Monthly plans are billed in advance from launch. Annual plans are billed yearly in advance.
• Late invoices may result in suspension of services after written notice.
• Prices exclude applicable taxes.

3. Ownership

You own your domain names, your content and your customer data at all times. Once the build fee is paid in full, you own the custom design and code created specifically for your site. We keep ownership of our shared platform, tools and libraries, and grant you a licence to use them while you're a client and in any export we provide.

4. Your responsibilities

• Provide content and feedback in reasonable time.
• Ensure you have the rights to content you give us.
• Keep your dashboard login secure.
• Use the services lawfully and not for spam or abuse.

5. Availability and support

We aim for high availability and monitor every site, but we don't guarantee uninterrupted service. Planned maintenance is scheduled outside business hours where possible. Support response times depend on your plan.

6. Cancellation and export

Monthly plans can be cancelled with 30 days' written notice. On cancellation we'll provide an export of your site, content and form submissions, and help transfer your domain and email. We delete hosted data 60 days after the end of service.

7. Liability

To the extent permitted by law, our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses such as lost profits.

8. Changes to these terms

We may update these terms with at least 30 days' notice by email. Continued use after that date means you accept the updated terms.
